1. Who you are contracting with

ASK NAMI ("the Service") is provided by Nami Security ("we", "us", "our"). By creating an account or continuing to use the Service, you agree to these Terms & Conditions. If you use the Service on behalf of an organization, you confirm you have authority to bind that organization; if you use it as an individual, you confirm you are of legal age in your jurisdiction (and in any event at least 18 years of age).

2. The Service

ASK NAMI is an AI assistant that answers cybersecurity questions in plain language and can use organization context and documents you provide to make answers more relevant. We grant you a limited, non-exclusive, non-transferable right to use the Service within the plan you have selected. The Service is provided on an 'as is' and 'as available' basis.

The Service is designed for professional cybersecurity inquiries. You must not submit personal data of identifiable third parties (such as employee records, customer lists, or health data) to the Service unless you have a lawful basis to do so and have provided any required notices to the relevant data subjects.

3. Your account

You must provide accurate information and keep it up to date. You are responsible for keeping your sign-in credentials confidential and for all activity that takes place under your account.

4. Acceptable use

You must not misuse the Service. In particular you must not use it for anything unlawful, for fraud or spam, to infringe intellectual property rights, or to interfere with its security (including malware, probing, penetration testing without consent, or scraping), or to submit personal data of third parties in violation of applicable data protection laws.

You must not attempt to reverse engineer the Service, resell or redistribute it, or circumvent technical or plan limits.

5. AI outputs and your responsibility

You are responsible for the prompts and content you submit, for having the rights to any content you upload, and for how you use the answers you receive.

You must not use the Service to generate illegal content, deepfakes, hate speech or malware, or to attempt to bypass its safety instructions.

AI outputs may be incomplete or inaccurate. ASK NAMI provides general cybersecurity guidance only. It is not a substitute for professional legal, regulatory, compliance, or incident-response advice, or any other professional advice. You bear sole responsibility for any decisions or actions taken based on AI outputs and you should independently verify all information before acting on it.

We may remove or restrict content, filter or refuse outputs, and suspend accounts where necessary to keep the Service safe and lawful. If you believe content in the Service infringes your rights, contact us at support@namisecurity.io and we will review it; repeat infringement leads to termination.

6. Your content

You keep ownership of the documents, messages and other content you submit. You grant us a limited licence to host and process that content solely to operate and provide the Service to you. We will not use your content to train general-purpose AI models. The licence terminates when you delete your content or your account is closed, subject to reasonable backup and retention periods.

7. Our intellectual property

Nami Security retains all ownership of the Service, including its software, design, documentation and branding.

8. Availability

We work to keep the Service available, but we do not guarantee that it will be uninterrupted, timely or error-free. Features may change as the product develops.

9. Payment, billing and subscriptions

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Payment, billing, renewal, tax, cancellation and refund mechanics are governed by Paddle's Buyer Terms at https://www.paddle.com/legal/checkout-buyer-terms and our Refund Policy. Paid plans renew monthly until cancelled; you can cancel at any time from My Plan in your settings.

10. Suspension and termination

We may suspend or terminate access for material breach of these terms, non-payment, security or fraud risk, or repeated or serious policy violations. Except where immediate action is reasonably necessary to protect the security or integrity of the Service, we will use reasonable efforts to notify you before or promptly after any suspension. You may stop using the Service at any time. When access ends you may export your content for 30 days, after which it may be deleted.

11. Warranties and liability

THE SERVICE IS PROVIDED 'AS IS' AND 'AS AVAILABLE'. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We are not liable for indirect, consequential or special damages, including loss of profits, data or goodwill. Our total aggregate liability for all claims arising under or in connection with these terms shall not exceed the amounts actually paid by you to us in the twelve (12) months immediately preceding the event giving rise to the claim, or one hundred US dollars (US $100), whichever is greater. Nothing in these terms excludes liability for fraud, death or personal injury where the law does not allow it. Nothing in these terms excludes or limits liability that cannot be excluded or limited under applicable laws.

You will indemnify, defend, and hold harmless Nami Security Ltd., its officers, directors, and employees against any third-party claims, damages, losses, and reasonable legal fees arising from: (a) your content; (b) your unlawful use of the Service; (c) your breach of these terms; or (d) your violation of any applicable law or third-party rights.

12. General

You may not assign these terms without our consent; we may assign them as part of a merger, acquisition or reorganization. Neither party is liable for delays caused by events beyond its reasonable control.

These terms are governed by the laws of the State of Israel, and the competent courts of Tel Aviv-Yafo have exclusive jurisdiction, unless mandatory local consumer law provides otherwise.

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect. These terms, together with our Privacy Notice and Refund Policy, constitute the entire agreement between you and Nami Security Ltd. regarding the Service and supersede all prior agreements and understandings. Our failure to enforce any provision shall not constitute a waiver of that provision.

We may update these terms from time to time. We will notify you of material changes by posting the updated terms on our website and, where practicable, by notice within the Service at least fourteen (14) days before they take effect. You should not use of the Service if you do not accept the revised terms.
